Spiritual Network
>By Appointment=The Spiritual Network (hereby also known as SN) reserves the right to refuse advertisement, hosting, usage of space, and membership to any individual or entity, for any reason, at any time. Compromise or non-adherence to these terms will end this agreement without notice and without a refund.
Terms of Agreement
>by appointment= space usage. >By Appointment= space usage means that you are under no obligation to pay a fee for the space usage unless you establish an appointment for providing your service. No other may use the space while it is occupied so you must keep staff and volunteers on site aware of any expected appointments. You may not under any circumstance allow, sublet or transfer space usage to another party, person, or entity. As a >Bt Appointment= user of the space you hereby state you are legally able to provide service in the space.1. SPACE USAGE TERMS: Members of the Spiritual Network are allowed to schedule use of our location booked on a first come first reserved basis. If no SN member has the space booked then others who are not a part of the SN may rent the space for events, lectures, presentations, workshops, and classes. Since planned events of space usage are all pre-paid and provide a slightly higher space use rental amount; they take priority of consideration over
2. EQUIPMENT FOR SERVICES: SN does not supply any seating, tables, or equipment for services of any sort. You agree that you are responsible for all accommodations and equipment needed to perform your service. All property, accessories and equipment will be put away or removed after your services have been performed. Furthermore you agree to arrange items in accordance with fire and safety codes.
3. CLEAN SPACE: Upon using the space you will leave the space in the same or better condition as when you entered it. Please empty all trash into the large trash container in the back room or if needed in the dumpster on the back parking lot. Check the restroom and clean if needed. There is a small manual broom/ vacuum that should be used to remove any particles from floor. You must clean the area after usage and return items to their standard area.
4. KITCHENETTE, FOOD & BEVERAGES: You have access to use a small tea/coffee pot in the kitchenette, a small microwave, a refrigerator, and a standard coffee pot. Be sure to check the working condition before use. Be sure the coffee pots are turned off before leaving or inform another that they are still on. Bring your own supplies, beverages, condiments, and foods. Spiritual Network supplies bottled water but does not furnish disposable drinking cups nor any beverage or foods. There is limited space in the kitchenette and you are welcome to use it if it stays organized and presentable. Be sure all food and beverage items have been properly disposed .
5. If you need space for storage of items please discuss with SN as no storage space is provided as part of this agreement.
6. Our display items and the printed materials may only be moved with permission.
7. As part of this contract you may place your business cards and/or one stack of information/ flyers at our location for distribution. If your services are listed on any flyers you agree to post said flyers in at least two accepted location, each time flyers are published. At our discretion we may include your services in our printed materials and schedules, post it on the white board, as well as it may be noted within our web site or any of our Internet event listings and calenders.
8. The SN does not take registrations or appointments for those who are not part of the SN but will gladly forward information to clients or give them your telephone number.
9. You may not remove any Spiritual Network signage including items on walls and the posted waiver. You have the choice of leaving either the shades open or closed during your event.
10. While you are on the premises, you may place the phones in a
>Do Not Disturb= mode. You may use the phone for local calls only and receive calls to 644-5558. Any long distance or charges to the phone while you occupy the space, whether incurred by you or your clientele will be paid in full by you upon receipt of the charge.11. The space is on a security and fire alarm system. In case of a fire emergency or ambulance need, you may use the alarm. Do not touch the alarm for any other reason. When doors are opened to any of the spaces, a small beep is heard.
12. You must park in the back parking lot once unpacking has been completed. Parking is restricted to one hour on Manchester. SN is not responsible in any way for fines, tickets, or towing to you or your clients.
13. You personally, or as your legal business, are responsible for items of the SN while you are using the space. Should any item be broken, stolen, or missing it will be paid for in full before you depart on that same day.
14. You are solely responsible for all advertising, promotion, marketing, booking, filling, and registration of your event. You are only renting the physical space with no other associated services.
15. You agree that you will not allow nor conduct any illegal or sexual activities on the premises deemed as the space, all adjoining parking, and community areas. You will prohibit and agree not to allow any illegal drugs or alcoholic beverages on the premises.
16. You must maintain ethical practices of offering the services and goods as advertised or inferred.
17. In use of the space you hereby agree to obtain and keep current all necessary business license and permissions to conduct your service in the Spiritual Network location in the city of Maplewood, the state of Missouri. In signing this agreement you accept full responsibility for your actions, maintaining, and providing copies of needed certification and licence upon demand.

J; and/or the phrase >Universal Love, Energy and KnowledgeJ= are used permission must be received by the Spiritual Network. We reserve the right to refuse usage anytime and for any reason. Use of others= copyrighted materials without permission and copyright or trademark infringement will terminate this agreement without warning and without a refund.CERTIFICATIONS & USE of VERBIAGE: You may not imply nor state that you hold certifications you do not. Certificates must accompany all indications leading to the assumption of accreditation and be maintained on file with the Spiritual Network. During your event the accreditations and certifications must be clearly displayed, using additional or original documents other than the ones submitted with this Agreement. For example you cannot offer
>therapeutic= massage if you are not a certified massage therapist. If certification or accreditation is inferred or stated, those certificates must be in effect and valid at the time of the event held at the SN.TERMS OF YOUR SALE, SERVICES, & PRODUCTS: All prices are to be noted in United States Currency. Your clients pay you directly. SN will not book nor sell your items as a non-SN member. To accept payment via Master Card or Visa the client must provide the necessary information and at that time may be considered a subcontracted employee of the SN. All merchant payments received via the SN shall have 20% of the sale amount deducted from the total and the balance will be paid to you by check three weeks after the merchant transaction is processed. All items sold must be sold under ethical and standard good business practices. SN reserves the right to request samples of items to be sold or services to be rendered. All items that will be sold must be noted on this agreement. You are responsible for your sales and sale taxes. In renting this space you waive all responsibility of money, property, taxes, and solicitation licenses and dues from Spiritual Network. In making a sale the purchaser must understand that you are selling the item, not Spiritual Network. You must have a legal right to sell goods and services including any and all business license, permissions, and sales tax numbers to make a sale. You may not misrepresent your goods or services in any manner nor your association with the Spiritual Network.
WAIVER & LIABILITY: In using this space you, as any person or business, waive any and all claims of responsibility against the person/entity known as Spiritual Network, it's employees, members, and its owner accepting and understanding that you may not seek or lay claim to any compensation for any results or lack of results of using this space or from the intent to use the space. You are responsible for your own property and waive all rights of claim of property damage inside the area or outside the area (such as streets and parking). In selling any product or service you waive all responsible from The Spiritual Network, it's employees, owner, and members and accept full responsibility of all actions upon yourself. If you warrant your goods or services the warranty should be posted and must be attached to this agreement. Your terms of sale for services and products must be submitted with this agreement. You are fully responsible for all business and associated licensing and permits to perform or sell services or goods in the City of Maplewood, in the state of Missouri. Should any legal or court action of any sort arise from association with the SN or caused by you associating yourself with the SN, you hereby agree to immediately take corrective actions and clear the SN of all liability and responsibility. Spiritual Network shall not be considered in default of its obligations hereunder if performance of such obligations is prevented or delayed by acts of God or government, war, riots, acts of civil disorder, weather, communication - telecommunication equipment failure or service interruption, electrical equipment failure or service interruption, labor disputes, failure or delay of transportation, or any other causes beyond the direct control of Spiritual Network.
SEVERABILITY AND BINDING ARBITRATION: All disputes between you and SN, and respective assigns, attorneys, and successors of any kind whatsoever, arising from the transactions of this agreement shall be resolved by arbitration in accordance to the rules of the American Arbitration Association. Arbitrable claims shall include, but are not limited to, tort and contract of all kinds, and all claims based on federal, state, or local statute, laws and regulations. Arbitration will be final, binding and the exclusive remedy for all parties for all claims with the fees of the arbitrator being paid for by the losing party, as determined by the arbitrator. If a court of competent jurisdiction holds any provision of this agreement or by approved arbitrator to be contrary to law, the remaining provisions of this agreement will continue in full force and effect. ALL PARTIES WAIVE ANY RIGHTS THEY MAY HAVE TO TRIAL BY JURY IN REGARD TO ARBITRABLE CLAIMS.
This agreement represents the complete agreement and understanding of the parties with respect to the subject matter herein, and supersedes any other understanding, written or oral. This agreement is hereby becomes valid with signatures of both parties and payment made in full and clear. This agreement may be amended and all such amendments will be in writing and subject to the terms and conditions of this agreement as amended thereby as accepted with the signature of both parties of the written admendment.
